Terms & Conditions

1. Services

  • Zverox Technology Inc. specializes in providing operational support services, including but not limited to: Technical support services Billing and finance support services Workload and operational management Software-enabled business support solutions All services are delivered by our expert team using company-developed or licensed software.

2. Scope of Work

The specific scope, timeline, and deliverables of services will be defined in a separate agreement, proposal, or statement of work agreed upon by both parties. Any additional services requested outside the agreed scope may require additional fees.

3. Client Responsibilities

  • The Client agrees to: Provide accurate, complete, and timely information required for service delivery Ensure lawful use of our services Maintain confidentiality of login credentials and access provided by the Company Comply with all applicable laws and regulations
  • Our BPO team handles client calls, queries, and negotiations professionally.
  • Clients must provide legal authorization for us to interact with third-party service providers (telecom, energy, SaaS, etc.) on their behalf.
  • Any misuse of our BPO services for fraudulent or illegal activity will result in immediate termination.

4. Fees and Payment

  • Fees for services shall be agreed upon in advance in writing

  • All invoices must be paid within the agreed payment period

  • Late payments may result in service suspension or termination

 

  • All fees are non-refundable unless otherwise stated in writing

5. Confidentiality & Data Protection

  1. Both parties agree to maintain the confidentiality of all proprietary, technical, financial, and business information exchanged during the course of the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
  2. Zverox Technology Inc. takes reasonable measures to protect client data and information. However, we do not guarantee absolute security and shall not be held liable for data breaches caused by factors beyond our reasonable control.

6. Limitation of Liability

  • To the maximum extent permitted by law: Zverox Technology Inc. shall not be liable for indirect, incidental, or consequential damages Our total liability shall not exceed the amount paid by the Client for services during the preceding three (3) months

7. Intellectual Property

  • All software, systems, processes, documentation, and materials developed or provided by Zverox Technology Inc. remain the exclusive intellectual property of the Company unless otherwise agreed in writing. Clients are granted a limited, non-transferable license to use such materials solely for business purposes.

9. No Guarantee of Results

  • While we strive to deliver high-quality services, Zverox Technology Inc. does not guarantee specific business outcomes, financial results, or performance improvements.

10. Termination

Either party may terminate services:

  • With written notice as outlined in the service agreement

  • Immediately, in case of breach of these Terms

Upon termination, all outstanding fees become immediately payable.

11. Independent Contractor

Zverox Technology Inc. operates as an independent contractor. Nothing in these Terms shall be construed as creating a partnership, joint venture, or employment relationship.

12. Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, cyber incidents, labor disputes, or governmental actions.

13. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of [USA/NJ], without regard to conflict of law principles.

14. Amendments

Zverox Technology Inc. reserves the right to update or modify these Terms at any time. Continued use of services after changes constitutes acceptance of the revised Terms.
